Terms of Service

1. Parties

These terms are between ROCKSOUQ AI, trading as Gulf Commerce AI, Ras Al Khaimah, United Arab Emirates (“we”), and the client named in the signed proposal (“you”).

Your signed proposal sets out the details for your business. Where the proposal and these terms differ, the proposal applies.

2. The services

We provide Business Automation (previously called Custom Automation) and E-commerce Operations, as described in your signed proposal. Business Automation covers automations for any department of your company. E-commerce Operations covers the day-to-day running of your online store and marketplaces.

3. Your responsibilities

• Give us the access we need to do the work.
• Keep the accounts and tools you connect in good standing, such as your email, messaging, CRM, accounting, store, marketplace, ad and payment accounts.
• Review and approve the actions that need your approval on time.
• Stay responsible for your own products, services and content, including anything sent in your name that you have approved, and for following each platform's rules.

4. Approvals

Some actions wait for your approval before we carry them out, such as the first message to a new contact, quotes, invoices, refunds, and price and ad changes. An action you approve is your decision. Pricing decisions, contracts and legal matters, hiring decisions and account ownership are never automated: they stay with you.

5. Fees

• Business Automation: a one-time setup fee of 999 AED, 899 AED per month for platform and care, and 199 AED per month for each automation.
• E-commerce Operations: a base fee of 999 AED per month, plus 7.5% of sales. The 7.5% is calculated after platform commissions, on the payouts you withdraw from platforms and payment gateways.

Launch offer: the fees above are offer prices for your first 3 months, counted from the start of your service. From month 4 the full prices apply: for Business Automation, 1,799 AED per month for platform and care and 399 AED per month for each automation (the full setup fee is 1,499 AED); for E-commerce Operations, a base fee of 1,999 AED per month. The setup fee is charged once, at the offer price. The 7.5% share of payouts is never discounted.

Your proposal confirms your fees, when each payment is due, what applies if a payment is late, and whether the setup fee can be refunded.

6. Service levels

We work to keep the client portal and our monitoring available 99.9% of the time. This covers what we control: the portal, our monitoring and how quickly we respond. Your proposal sets out how this is measured and what applies if it is missed.

7. Term and cancellation

The term of the service and the notice period for ending it are set out in your proposal. When the service ends, we remove our access to your accounts and hand over your reports and data as described in our Privacy Policy.

8. Third-party platforms

The tools and platforms you connect, such as email and messaging services, CRM and accounting software, stores, marketplaces, ad accounts and payment gateways, are run by other companies. We are not responsible for their outages, policy changes or account suspensions that we did not cause.

9. Automations we build for you

Your proposal states who owns the automations we build for you and what happens to them if the service ends.

10. Confidentiality

Each of us keeps the other's confidential information private and uses it only for the services.

11. Liability

Drafts, summaries, shortlists, forecasts, suggestions and AI answers are there to support your decisions. They do not guarantee results. You remain responsible for the decisions you make, including pricing and hiring decisions.

Figures from the calculators on our website are your own estimates, not a quote. Your price is the one in your signed proposal.

12. Governing law

These terms are governed by the laws of the United Arab Emirates.
